EmpireTV Independent Contractor Terms

Introduction

By accepting any assignment from EmpireTV, the Independent Contractor agrees that they have reviewed, understand, and are legally bound by all terms herein. Acceptance of any work assignment constitutes a legally enforceable contract.

1. Payment Terms

• Payment is issued net 15 days only after EmpireTV’s written confirmation that the job is completed to EmpireTV standards, documentation is submitted, and the Post Installation Survey is finalized.
• Jobs are not complete until EmpireTV receives the technician’s survey and verifies operational status of all services.
• Contractor agrees that payment may be withheld, reduced, or recouped if corrective actions are required due to failure to meet standards or complete documentation.
• If post-install issues arise within 30 days and EmpireTV dispatches another technician to correct the original work, EmpireTV may deduct the full cost of that service from the original contractor’s payment or invoice the contractor directly for reimbursement.
• No partial payment constitutes acceptance of defective or incomplete work.

2. Responsibilities

• The Independent Contractor shall perform services in a professional, workmanlike manner consistent with industry standards.
• Contractor must ensure all equipment, materials, and installations function correctly at completion.
• Contractor is solely responsible for all tools, materials, labor, and means of performance required to complete assignments.
• Contractor must leave all sites clean and presentable and respect the property of customers and EmpireTV.

3. Warranty & Correction Obligations

• Contractor warrants all work will be free from defects, complete, and compliant with EmpireTV quality standards for a minimum of 30 days from completion.
• Contractor shall correct, at no cost to EmpireTV or the customer, any defective or nonconforming work identified during the warranty period.
• Contractor agrees that EmpireTV may enforce this warranty by corrective performance or financial offset.
• This warranty is in addition to any rights EmpireTV has at law or equity for latent or continuing defects beyond the warranty period.

4. Indemnification

• Contractor shall indemnify, defend, and hold harmless EmpireTV and its affiliates from all claims, losses, liabilities, damages, fines, penalties, costs, and expenses arising from Contractor’s performance, including but not limited to third-party claims.
• This indemnity includes claims for property damage, personal injury, death, or financial loss attributable to Contractor’s actions or omissions.

5. Limitation of Liability

• Except for indemnification obligations or willful misconduct, EmpireTV’s liability to the contractor is limited to payment for services rendered under this agreement.
• Contractor expressly waives any claim for consequential, incidental, or punitive damages against EmpireTV.

6. Compliance with Laws & Regulations

• Contractor represents and warrants compliance with all federal, state, and local laws, including safety standards and licensing.
• Contractor shall bear full responsibility for all permits, fees, and regulatory compliance costs.

7. Boilerplate Provisions

• Severability If any provision is unenforceable, the remainder stays in effect.
• Waiver No waiver of any right is valid unless in writing.
• Force Majeure Neither party is liable for delays due to causes beyond reasonable control.

8. Termination

• EmpireTV may terminate this agreement at any time upon written notice.
• Termination does not absolve Contractor from warranty, indemnity, or other post-termination obligations.

9. Confidentiality

• Contractor shall protect proprietary information and not disclose customer or EmpireTV data without written consent.

10. Governing Law

• This agreement is governed by the laws of the jurisdiction in which EmpireTV operates, and disputes shall be resolved through arbitration unless otherwise required by law.

11. Entire Agreement

• This document constitutes the entire agreement between the parties and supersedes all prior understandings.
