EmpireTV Independent Contractor Terms

Introduction

Welcome to EmpireTV's terms for independent contractors. By accepting a job from EmpireTV, you agree to comply with and be bound by the following terms and conditions.

1. Payment Terms

• Payment terms are net 15 days from the date the customer confirms satisfaction with the job. If the customer provides a legitimate reason for dissatisfaction, renegotiation may be necessary to address further costs or the requirement for on-site technician intervention.
• The payment amount is negotiated and specified in the project assignment email. Any negotiations regarding payment terms must be concluded prior to accepting the assignment.

2. Responsibilities

• The original installer (Independent Contractor) is accountable for any post-installation service calls related to incorrect installations.
• EmpireTV reserves the right to hold Independent Contractors accountable for any damages caused due to negligence or improper installation.
• Technicians must act professionally and courteously toward property guests and seniors at all times.
• Technicians are required to complete the post-installation checklist prior to leaving the site. The work order will not be closed, and payment will not be processed until the checklist is completed.

3. Liability and Worker's Compensation

• Liability and worker's compensation insurance coverage are the sole responsibility of the Independent Contractor. EmpireTV assumes no liability for any accidents, damages, or injuries that occur during the course of the installation or related services.
• The Independent Contractor acknowledges and agrees to maintain adequate insurance coverage throughout the duration of their engagement with EmpireTV.

4. Compliance with Laws and Regulations

• The Independent Contractor shall comply with all applicable laws, regulations, and industry standards governing TV installations and related services.
• Any violation of laws or regulations may result in immediate termination of the Independent Contractor's engagement with EmpireTV.

5. Termination

• EmpireTV reserves the right to terminate its engagement with an Independent Contractor at any time, with or without cause, upon written notice.
• Termination of the Agreement does not relieve the Independent Contractor of their responsibilities or liabilities incurred prior to the termination date.

6. Confidentiality

• The Independent Contractor agrees to maintain the confidentiality of all proprietary information and customer data obtained during the course of their engagement with EmpireTV.
• Confidential information shall not be disclosed to third parties without prior written consent from EmpireTV.

7. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which EmpireTV operates.
• Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

8. Entire Agreement

• This Agreement constitutes the entire understanding between EmpireTV and the Independent Contractor and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
